Splashpad Terms of Service

1. Introduction

Welcome to Splashpad ("Splashpad," "we," "our," or "us"), an experimental Solana-based token launchpad that enables users to participate in the creation, launch, discovery, and trading of Solana tokens and to collect associated rewards ("Services").

By accessing or using Splashpad (including its website, smart contracts, APIs, or any related applications), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use Splashpad.

Splashpad is intended for entertainment and experimental use only. Use of Splashpad is entirely at your own risk.

2. Eligibility

By using Splashpad, you represent and warrant that:

  • You are at least 18 years old (or the legal age of majority in your jurisdiction, if higher).
  • You are legally permitted to use Splashpad under the laws of your jurisdiction.
  • You are not located in, and will not use Splashpad from, any jurisdiction where such activity would be illegal, restricted, or require licensing or registration.
  • You are not a citizen or resident of any jurisdiction that prohibits the use of blockchain-based or cryptocurrency-based services.
  • You are solely responsible for determining the legality of Splashpad in your jurisdiction and for complying with all applicable laws, regulations, and tax obligations.

3. Description of Service

Splashpad provides:

  • Tools for launching and distributing Solana-based tokens;
  • An interface for viewing, discovering, and optionally trading tokens launched through the platform;
  • Reward mechanisms associated with launched tokens; and
  • A public listing space for community-created tokens (subject to moderation).

All blockchain transactions occur on the Solana network and are outside Splashpad's control. Splashpad does not custody user funds and cannot reverse or modify blockchain transactions.

4. Account Creation and Data

You may be required to create an account or connect a wallet to use certain features of Splashpad. You are responsible for maintaining the confidentiality of your account credentials and wallet private keys.

Splashpad may collect, store, and process certain information about you and your use of the platform. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Splashpad, you consent to the collection and use of your information as described in our Privacy Policy.

You are responsible for ensuring that any information you provide to Splashpad is accurate, current, and complete. Splashpad reserves the right to suspend or terminate accounts that provide false, inaccurate, or incomplete information.

Upon termination of your account, Splashpad may retain certain data as required by law or for legitimate business purposes, subject to our Privacy Policy.

5. Refund Policy

All fees paid to Splashpad, including but not limited to token creation fees, transaction fees, and any other charges, are final and non-refundable. Splashpad does not provide refunds under any circumstances, including but not limited to errors, technical issues, user mistakes, or dissatisfaction with the Services. By using Splashpad, you acknowledge and agree that all payments are final and that you will not be entitled to any refunds.

6. Editorial Control and Content Policy

Splashpad reserves the exclusive right to determine which tokens, projects, and content appear on the Splashpad website, app, or promotional materials.

Splashpad may remove, hide, or deactivate any token or content at its sole discretion, without notice or explanation, including but not limited to:

  • Tokens or projects deemed inappropriate, adult-themed, misleading, or fraudulent;
  • Content violating intellectual property rights, privacy rights, or other applicable laws;
  • Content deemed by Splashpad to be of low quality, spammy, derivative, or in poor taste, based on Splashpad's subjective editorial judgment.

Splashpad's editorial decisions are final and not subject to appeal.

7. User Responsibilities

You agree to use Splashpad lawfully and responsibly. You must not:

  • Engage in hacking, spamming, phishing, or any behavior that disrupts or harms Splashpad or other users;
  • Upload or launch tokens containing malicious code, viruses, or automated scripts intended to damage or manipulate the platform;
  • Violate any applicable laws or regulations, including securities, anti-money laundering (AML), or intellectual property laws;
  • Post or deploy adult, offensive, illegal, or defamatory content;
  • Impersonate others or misrepresent your affiliation with any person, project, or organization;
  • Use copyrighted or trademarked materials without proper authorization or license;
  • Dox, harass, threaten, or intimidate any person;
  • Interfere with Splashpad's smart contracts or systems.

Violations may result in permanent account suspension, token delisting, or legal action.

8. Intellectual Property

You retain ownership of any lawful content or token smart contracts you deploy on the Solana blockchain.

By posting or submitting content to Splashpad (including logos, descriptions, and metadata), you grant Splashpad a worldwide, royalty-free, non-exclusive, sublicensable license to display, reproduce, and distribute such content for the purpose of operating, promoting, and improving Splashpad.

9. Disclaimers and Risk Acknowledgment

9.1 Experimental Nature

Splashpad is experimental software. It is provided "as is" and "as available," without warranties of any kind, express or implied.

9.2 No Warranty

Splashpad makes no representations or warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, reliability, accuracy, or non-infringement.

9.3 User Risk

By using Splashpad, you acknowledge and accept that:

  • All transactions are irreversible and recorded permanently on the Solana blockchain.
  • Token values may fluctuate dramatically and may become worthless.
  • You may incur losses, gas fees, or bugs that result in partial or total loss of funds.
  • Splashpad does not provide investment advice, and nothing on the platform constitutes a financial recommendation.
  • You are solely responsible for any trading decisions, token deployments, gains, or losses incurred while using Splashpad.

9.4 Smart Contract Risks

Splashpad utilizes smart contracts deployed on the Solana blockchain. You acknowledge and understand that:

  • Smart contracts may contain bugs, vulnerabilities, or errors that could result in loss of funds or functionality;
  • Splashpad does not guarantee that smart contracts have been audited or are free from defects;
  • Smart contract interactions are irreversible and cannot be undone;
  • You are solely responsible for understanding the risks before interacting with any smart contract;
  • Splashpad is not responsible for any losses resulting from smart contract bugs, vulnerabilities, exploits, or failures.

10. Legal and Regulatory Disclaimer

Splashpad tokens are not securities, and participation in token launches does not grant ownership, voting rights, profit-sharing, dividends, or any rights associated with traditional financial instruments.

Splashpad does not offer or sell securities, investment contracts, or any regulated financial instruments.

You are solely responsible for tax reporting and payment arising from any activity on Splashpad.

Splashpad does not guarantee compliance with the laws of any jurisdiction.

11. Limitation of Liability

To the maximum extent permitted by law, Splashpad, its developers, affiliates, and partners shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or related to your use or inability to use Splashpad, including but not limited to:

  • Financial loss or token devaluation;
  • Data or asset loss due to software bugs or blockchain network issues;
  • Unauthorized access, hacks, or breaches;
  • Smart contract vulnerabilities;
  • Any reliance placed on information provided via Splashpad.

In no event shall Splashpad's total liability to you for all claims arising out of or related to your use of Splashpad exceed one hundred dollars ($100.00 USD).

Your sole and exclusive remedy for dissatisfaction with Splashpad is to discontinue use of the platform.

12. Indemnification

You agree to indemnify, defend, and hold harmless Splashpad, its developers, affiliates, and service providers from and against any claims, losses, liabilities, damages, costs, or expenses (including attorney fees) arising from:

  • Your use or misuse of Splashpad;
  • Your violation of these Terms or any applicable law;
  • Your infringement of any third-party rights, including intellectual property or privacy rights.

13. Termination

Splashpad may, at its sole discretion, suspend, restrict, or terminate your access to the platform at any time and for any reason, without notice or liability, including violation of these Terms or suspected illegal activity.

14. Modifications to Terms

Splashpad reserves the right to update or modify these Terms at any time without prior notice. The "Last Updated" date will reflect the most recent version. Continued use of Splashpad after any modification constitutes acceptance of the updated Terms.

15. Class Action Waiver and Statute of Limitations

You agree that any claims or disputes arising out of or related to these Terms or your use of Splashpad must be brought individually and not as part of any class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Splashpad.

Any claim or cause of action arising out of or related to these Terms or your use of Splashpad must be commenced within one (1) year after the claim or cause of action arose, or such claim or cause of action is forever barred.

16. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without Splashpad's prior written consent. Splashpad may freely assign or transfer these Terms or any rights or obligations hereunder without restriction. Any attempted assignment or transfer in violation of this section shall be null and void.

17. Waiver of Rights

The failure of Splashpad to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Splashpad.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, it shall be severed from these Terms.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or related to these Terms or your use of Splashpad shall be brought exclusively in the state or federal courts located in Ohio, and you hereby consent to the personal jurisdiction of such courts.

20. Entire Agreement

These Terms constitute the entire agreement between you and Splashpad and supersede any prior or contemporaneous agreements, representations, or understandings.
